This Reseller Agreement ("Agreement") governs participation in the Zip Player reseller program ("Reseller Program") operated by Zero Overhead Labs LLC ("we", "our", or "us").

By registering as a reseller, purchasing credits, or using the reseller dashboard, you agree to this Agreement. This Agreement is also incorporated into our Terms of Service, which apply to your use of the Service generally.

1. Reseller Program Overview

The Reseller Program allows approved partners ("Resellers") to purchase activation credits and use those credits to activate licenses for their customers.

Resellers are independent businesses or individuals and are not employees, agents, representatives, or legal partners of Zero Overhead Labs LLC unless expressly agreed otherwise.

2. Eligibility

To participate in the Reseller Program, you must:

• Provide accurate account information;
• Maintain accurate billing information;
• Comply with all applicable laws and regulations;
• Use the reseller system only for legitimate customer activations.

We reserve the right to approve, reject, suspend, or terminate reseller accounts at our discretion, subject to applicable law.

3. Credits

Credits are the unit used to activate customer licenses.

Current credit usage:

• 1-Year license: 1 credit
• One-time license (1 device): 2.5 credits

Credit requirements may change for future products or license types.

4. Credit Purchases

Reseller credits are purchased by invoice. To request a top-up, contact our support team. We will issue an invoice. Once payment is received and confirmed, we will deposit the corresponding credits into your reseller wallet. Deposits are reflected in your wallet transaction history as a "Deposit".

Credit pricing is set out on our resellers page and in the reseller dashboard, and may be updated from time to time. The price applicable to a purchase is the price in effect at the time we issue the invoice.

Higher-volume purchases may qualify for lower credit pricing.

Credit purchases are one-time transactions. We do not store payment credentials or automatically renew credit purchases. Any purchased credits remain available according to the terms applicable at the time of purchase.

5. Credit Usage

Credits may only be used to activate valid customer licenses through the reseller dashboard.

Credits may not be:

• Sold separately as standalone products;
• Transferred between reseller accounts;
• Exchanged for cash;
• Used for unauthorized activations.

6. Customer Activation Process

To activate a customer's license:

1. The customer opens the Application which displays the activation code either through the main page or through the settings;
2. The customer provides the activation details displayed by the Application to the Reseller;
3. The Reseller enters the required customer information (including the activation code or MAC address) through the reseller dashboard;
4. The required credits are deducted;
5. The customer reloads the Application to access their activated license.

Resellers are responsible for ensuring activation requests are legitimate and authorized by their customers.

7. Activation Cancellation and Credit Restoration

To protect Resellers from unsuccessful customer transactions, Resellers may deactivate an activation within 3 days of activation.

When an eligible activation is deactivated within this period, the consumed credits may be restored.

After the 3-day period, the activation is considered final and credits cannot be restored.

Credit restoration is not available for:

• Fraudulent activity;
• Abuse of the activation system;
• Licenses that have exceeded the cancellation period.

8. Reseller Pricing and Customer Pricing

Resellers may determine their own customer pricing.

Resellers are responsible for:

• Setting their own margins;
• Collecting payment from their customers;
• Handling their own customer relationships.

Zero Overhead Labs LLC does not guarantee reseller profits, sales volume, or customer demand.

9. Reseller Responsibilities

Resellers agree to:

• Represent the product accurately;
• Avoid misleading claims;
• Explain that the Application is a media player only;
• Avoid claiming affiliation with IPTV providers;
• Avoid selling unauthorized IPTV services;
• Provide appropriate customer support for their own customers.

10. Prohibited Activities

Resellers may not:

• Sell or promote illegal content services;
• Misrepresent the Application or its features;
• Circumvent licensing systems;
• Share reseller dashboard access;
• Create fraudulent activations;
• Abuse credit restoration policies;
• Use automated methods to manipulate the activation system.

11. IPTV Content Disclaimer

The Application is a media player only.

Zero Overhead Labs LLC does not provide, sell, host, distribute, or license IPTV subscriptions, channels, movies, series, or other audiovisual content.

Resellers must not advertise the Application as including IPTV subscriptions or content.

Customers are responsible for obtaining legitimate access to any content they use with the Application.

12. Data Protection

Each party is an independent controller of the personal data it processes in connection with the Reseller Program. Resellers are responsible for providing required notices and obtaining any required consents from their customers, and must not submit personal data they are not authorized to process.

Our processing of personal data in connection with the Service is described in our Privacy Policy.

13. Payments and Taxes

Payment method. Credit purchases are paid by bank transfer or another method we designate on the invoice. You are responsible for any transfer fees imposed by your bank.

Taxes. You are responsible for any taxes applicable to your purchase. Where required by law, we will include applicable taxes on the invoice. Where you are responsible for withholding taxes, you must provide us with the documentation required by applicable law.

Failed or reversed payments. Where a bank transfer is reversed, charged back, or otherwise invalidated, we may revoke the credits associated with that payment and suspend or terminate your reseller account. This is in addition to any other remedy available to us.

13.1 Wire Transfer Verification

We verify wire transfers before depositing credits. If a transfer is received that does not match an issued invoice, we may hold the funds while we investigate.

We are not responsible for delays caused by mismatched payment references, intermediary bank delays, or errors in transfer instructions. You are responsible for ensuring that your transfer instructions are accurate and that the funds are sent to the correct account.

14. Support Responsibilities

Zero Overhead Labs LLC provides support related to:

• The reseller dashboard;
• Credit purchases;
• License activation issues;
• Application functionality.

Resellers are responsible for supporting their own customers regarding:

• Sales;
• Billing;
• Customer communication;
• Their own commercial arrangements.

15. No Exclusivity

This Agreement does not create an exclusive relationship.

We may sell licenses directly to customers and work with other resellers.

16. Suspension and Termination

We may suspend or terminate a reseller account if:

• This Agreement is violated;
• Fraudulent activity is detected;
• The activation system is abused;
• The reseller damages the reputation of the product.

Upon termination:

• Future reseller access may be disabled;
• Licenses already activated for end customers remain valid for their stated term, provided the underlying activation was legitimate and paid for;
• Where we terminate your account without cause, we will refund the value of unused credits purchased by wire transfer on a pro-rata basis, calculated at the price paid per credit, unless prohibited by applicable law;
• Where we terminate your account for cause, unused credits may be handled according to applicable laws and circumstances.

17. Changes to the Reseller Program

We may modify:

• Pricing tiers;
• Available license types;
• Credit requirements;
• Dashboard features;
• Reseller program rules.

Changes will apply going forward unless otherwise required by law.

18. Independent Business Relationship

Resellers operate independently and are responsible for their own business activities.

Nothing in this Agreement creates:

• Employment;
• Partnership;
• Franchise;
• Agency relationship.

19. Limitation of Liability

To the maximum extent permitted by law, Zero Overhead Labs LLC shall not be liable for:

• Lost reseller profits;
• Customer disputes;
• Business interruptions;
• Third-party services;
• Content accessed through customer-provided IPTV sources.

Our total liability related to the Reseller Program shall not exceed the amount paid by the reseller for the affected credits.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, liability for willful misconduct or gross negligence, and any other liability for which applicable law prohibits contractual limitation.

20. Governing Law and Jurisdiction

This Agreement and any dispute arising out of or relating to the Reseller Program shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Subject to applicable mandatory law, the parties agree to submit to the jurisdiction of the competent courts located in the State of Wyoming, United States.
